TERMS OF COOPERATION
These Terms of Cooperation (the “Terms”) set out the principal terms governing potential cooperation between Kiryl Maksimenka, an individual operating under the JS Online Studio brand (“JS Online Studio”, the “Operator”, “we”, “us” or “our”), and an adult person admitted to cooperation following review of an application, an interview and training (the “Participant”).

Submitting an application, attending an interview or completing training does not, by itself, create any contractual obligation. Cooperation begins only after separate confirmation by JS Online Studio and the Participant’s acceptance of the applicable terms and/or execution of an individual agreement.


1. General Provisions
1.1. JS Online Studio provides Participants with informational, organisational and advisory support for commencing and carrying out independent activities on the international LiveJasmin platform.

1.2. Depending on the individually agreed format, support may include initial training, assistance with profile preparation, technical setup recommendations, guidance on conducting broadcasts, performance analysis, ongoing support and other organisational assistance.

1.3. JS Online Studio is a LiveJasmin partner under contractual arrangements entered into by the Operator with the relevant party operating the platform. However, JS Online Studio is not the owner, operator or developer of LiveJasmin.

1.4. These Terms do not replace LiveJasmin’s rules, user agreements, community standards, verification requirements or other platform documents. The Participant must review and comply with them independently.

2. Participant Eligibility Requirements
2.1. Cooperation is available only to persons who:

• are at least 18 years old and have full legal capacity;
• have provided accurate information about themselves;
• have successfully completed the preliminary application review and online interview;
• meet the technical, organisational and other reasonable requirements applicable to the selected cooperation format;
• are legally entitled to carry out the relevant activity in their country of residence or location;
• are prepared to comply with LiveJasmin’s rules, these Terms and any individually agreed working standards.

2.2. Under its current programme, JS Online Studio primarily considers applications from women aged 18 to 35. Falling within this age range does not guarantee acceptance.

2.3. JS Online Studio may refuse to commence or continue cooperation where false information has been provided, eligibility requirements are not met, platform rules are breached, conduct is disrespectful, safety is threatened, or for other legitimate business reasons.

3. Selection, Interview and Training
3.1. After receiving an application, a JS Online Studio representative may contact the candidate to clarify information and invite the candidate to an online interview.

3.2. During the interview, the candidate is informed about the general nature of the activity, principal requirements, preparation stages, remuneration principles and potential risks.

3.3. Training and introductory support are provided free of charge unless otherwise agreed in writing in advance.

3.4. Completion of training does not guarantee registration or approval of a LiveJasmin account, commencement of cooperation, any minimum volume of activity or any particular level of income.

3.5. JS Online Studio may discontinue training or decline to advance a candidate to the next stage if the candidate fails to follow safety instructions, is repeatedly absent, provides inaccurate information or demonstrates a clear lack of readiness for the selected format.
4. Registration and Identity Verification
4.1. Account registration and identity verification are carried out directly by LiveJasmin or persons authorised by it, in accordance with the platform’s rules.

4.2. The Participant submits directly to LiveJasmin the documents and information required to verify age, identity and entitlement to use the account.

4.3. JS Online Studio does not require passport uploads through jsonlinestudio.com and does not decide whether documents are approved or rejected by the platform.

4.4. The Participant must use only their own valid documents and may not transfer the account to another person, permit third parties to appear in broadcasts without the platform’s permission, or use another person’s identity.

5. Nature of the Cooperation
5.1. Unless expressly stated otherwise in a separate written agreement, the cooperation does not constitute an employment relationship. The Participant acts independently and is not an employee, agent, representative or legal partner of JS Online Studio.

5.2. The Participant independently organises the place from which the activity is carried out and provides a suitable device, stable internet connection and necessary household conditions, unless otherwise agreed in writing.

5.3. JS Online Studio’s recommendations concerning schedules, broadcast duration, profile presentation, communication and development are advisory and organisational in nature. Any specific mandatory performance requirements may be established only by an individual written agreement.

5.4. The Participant may not enter into transactions, make promises or issue statements on behalf of JS Online Studio without prior written authorisation.

5.5. The legal nature of the relationship is determined not only by the title of a document but also by the actual manner in which the parties interact, having regard to applicable law.

6. Obligations of JS Online Studio
6.1. Within the agreed format, JS Online Studio undertakes in good faith to:

• provide the Participant with clear information about the principal stages of cooperation;
• organise initial training and provide available training materials;
• provide advisory and organisational support to a reasonable extent;
• assist with profile setup and workflow organisation without interfering in decisions that fall exclusively within LiveJasmin’s competence;
• maintain the confidentiality of information received from the Participant in accordance with the Privacy Policy;
• not promise guaranteed income or any outcome that cannot objectively be guaranteed.


7. Obligations of the Participant
7.1. The Participant undertakes to:

• provide only accurate and current information;
• strictly comply with LiveJasmin’s rules, age restrictions and verification requirements;
• prevent minors and other unauthorised persons from accessing the account;
• not use prohibited, unlawful, fraudulent, violent or otherwise impermissible content;
• not disclose passwords, access codes, internal training materials or confidential information to third parties;
• maintain respectful and professional communication with the JS Online Studio team;
• independently ensure the security of the device, account, internet connection and workspace;
• immediately report any suspected hacking, fraud, blackmail, threats, data leakage or other material security incident;
• independently comply with tax, registration, foreign-exchange and other obligations in the Participant’s jurisdiction.

7.2. The Participant should not follow any instruction that, in the Participant’s reasonable opinion, violates the law, LiveJasmin’s rules or creates an immediate safety risk. Any such situation must be reported to JS Online Studio without delay.

8. Remuneration and Commission
8.1. Unless otherwise provided in an individual written agreement, the economic result credited by the platform in connection with the Participant’s activity through an account linked to the studio is allocated as follows:

·  50% — the Participant’s share;
·  50% — JS Online Studio’s commission for training, process organisation, advisory support and ongoing assistance.

8.2. Calculations are based on the data actually recorded by LiveJasmin in the relevant accounting system after the application of the platform’s rules, coefficients, deductions, adjustments, refunds, penalties or other calculation mechanisms.

8.3. Payment of the Participant’s share is made directly by LiveJasmin or by another method available under the settings of the linked account and the platform’s rules. JS Online Studio is not a bank, payment system or guarantor of any third-party payment service.

8.4. Payment timing, currency, minimum payout amount, withdrawal methods and possible fees are determined by LiveJasmin and/or the selected payment provider. These conditions may change without JS Online Studio’s involvement.

8.5. The Participant must verify payment details in a timely manner and is responsible for their accuracy. Losses resulting from incorrect payment details, payment-provider restrictions or third-party actions are not reimbursed by JS Online Studio, except where directly caused by a proven wrongful act of the Operator.

8.6. If a technical error, payment reversal, fraudulent transaction, platform-rule violation or other LiveJasmin adjustment is identified, an amount previously displayed may be recalculated.
9. No Guarantee of Income
9.1. JS Online Studio does not guarantee the Participant any minimum, fixed or specific level of income.

9.2. Any amounts, income ranges, performance examples or success stories published on the website, in presentations, messages or training materials are illustrative only and do not constitute a promise of similar results.

9.3. Income depends on numerous factors, including the Participant’s activity, the duration and regularity of broadcasts, communication quality, compliance with recommendations and platform rules, user demand, technical conditions, exchange rates, deductions and LiveJasmin’s decisions.

9.4. The Participant accepts the commercial risk that income may be absent, decrease or fluctuate and independently assesses whether continuing the activity is appropriate.

10. Expenses and Taxes
10.1. Unless otherwise agreed in writing, the Participant bears all costs relating to internet access, electricity, devices, equipment, software, communications, premises and other expenses connected with the activity.

10.2. The Participant independently determines their tax, foreign-exchange, social-security and registration status and is responsible for declaring and paying all taxes, levies, insurance contributions and other mandatory charges.

10.3. JS Online Studio does not provide individual tax, accounting, immigration or legal advice. Where necessary, the Participant should consult a qualified professional in their country.

11. Confidentiality and Security
11.1. JS Online Studio applies reasonable measures to protect the Participant’s contact and other information and processes it in accordance with the published Privacy Policy.

11.2. The Participant must keep confidential internal methods, training materials, commercial terms, team contact details, access credentials and any other information expressly marked as confidential or which should reasonably be understood to be confidential.

11.3. The confidentiality obligation does not apply to information that was lawfully in the public domain, was already known to the recipient without a confidentiality obligation, was independently developed, or must be disclosed by law.

11.4. The Participant independently selects a pseudonym, privacy settings and any visibility restrictions available on the platform. Country blocking and other tools reduce the risk of the profile being discovered but do not provide absolute anonymity.

11.5. The Participant understands that any online broadcast involves risks including screen recording, copying, distribution of materials by third parties, data leakage, blackmail and other abuse that cannot be completely eliminated by technical means.
12. Intellectual Property and Materials
12.1. Rights in content created by the Participant and published on LiveJasmin are governed by the platform’s rules and applicable law.

12.2. JS Online Studio’s internal instructions, checklists, scripts, texts, training materials, designs and other materials belong to the Operator or are used by the Operator on a lawful basis.

12.3. The Participant receives a limited, personal, non-exclusive and non-transferable right to use such materials only during the period of cooperation and solely for the purposes of the agreed activity.

12.4. Publication of the Participant’s photographs, videos, name, pseudonym, testimonials or results in JS Online Studio advertising is permitted only on the basis of separate, express consent, which may specify the relevant period, territory and methods of use.
13. Prohibited Conduct
13.1. The following are prohibited in connection with the cooperation:

• participation by minors or the use of materials involving minors;
• coercion, exploitation, human trafficking, threats, blackmail or other violence;
• use of another person’s documents, accounts, payment details or personal data;
• fraud, artificial generation of activity, manipulation of platform calculations or circumvention of platform restrictions;
• distribution of malware, phishing or attempts to obtain unauthorised access;
• infringement of copyright, image rights, privacy rights or other third-party rights;
• publication or display of content prohibited by law or LiveJasmin’s rules.


13.2. Where there is a reasonable suspicion of a breach, JS Online Studio may immediately suspend support, restrict access to internal materials, notify LiveJasmin and/or the competent authorities where required by law or necessary to protect persons from harm.
14. Suspension and Termination of Cooperation
14.1. Unless an individual agreement specifies a mandatory notice period, either party may terminate the cooperation by sending written notice to the other party by email or through an agreed communication channel.

14.2. JS Online Studio may terminate the cooperation immediately in the event of a serious breach of law, LiveJasmin’s rules, safety or confidentiality requirements, the prohibition on participation by minors, or in cases of fraud, threats or the submission of forged documents.

14.3. Upon termination, the Participant must stop using internal materials and return or delete confidential information unless retention is required by law.

14.4. Termination does not affect either party’s entitlement to amounts properly accrued before the termination date, subject to any subsequent LiveJasmin adjustments.

14.5. The availability and future status of an account after termination are determined by LiveJasmin’s rules, the technical structure of the account and any separate arrangements. JS Online Studio does not guarantee that a particular account can be transferred, preserved or used independently.

15. Liability
15.1. Each party is responsible for its own actions, statements, breaches of law and failure to perform accepted obligations.

15.2. To the maximum extent permitted by law, JS Online Studio is not liable for:
·  LiveJasmin’s decisions to approve, restrict, suspend or close an account;
·  changes to the platform’s rules, rates, coefficients, payout methods or technical features;
·  acts of platform users and other third parties;
·  failures of internet services, devices, payment systems, banks, cryptocurrency services or other providers;
·  indirect loss, loss of profit, loss of data, reputational harm or unmet expectations;
·  consequences of the Participant’s breach of law, platform rules, tax obligations or other duties.

15.3. Nothing in these Terms excludes any liability that cannot be excluded under mandatory applicable law, including liability for wilful misconduct, fraud or harm caused by gross negligence where such limitation is prohibited by law.

15.4. The Participant must take reasonable steps to mitigate potential loss and promptly notify JS Online Studio of any material issue.
16. Amendments to the Terms
16.1. JS Online Studio may update these Terms to reflect changes in law, LiveJasmin’s rules, payment processes, the training format or the organisation of support.

16.2. A revised version applies to new candidates from the time of publication. Material changes affecting existing Participants will be communicated by email or through an agreed communication channel and will apply from the date specified, unless mandatory law requires otherwise.

16.3. If the Participant does not agree with a material change, the Participant may terminate the cooperation before the change takes effect.
17. Governing Law and Dispute Resolution
17.1. These Terms and the relationships arising from them are governed by the laws of Ireland, without regard to conflict-of-law rules.

17.2. The parties will first seek to resolve any dispute through good-faith negotiations. A written complaint must be sent to info@jsonlinestudio.com and should include a description of the matter, relevant dates and any supporting documents available.

17.3. A response to a complaint will be provided within up to 30 calendar days after sufficient information has been received to review it.

17.4. If the dispute is not resolved, it will be submitted to the competent courts of Ireland. This does not limit any mandatory rights or remedies that cannot be excluded by agreement.

18. Final Provisions
18.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

18.2. Failure or delay in exercising any right does not constitute a waiver of that right.

18.3. The Participant may not assign any rights or obligations to a third party without JS Online Studio’s prior written consent.

18.4. JS Online Studio may engage employees, contractors and consultants to provide training, ongoing support, technical assistance and administrative services, subject to applicable confidentiality requirements.

18.5. Electronic messages, confirmations and agreements may be used to formalise the relationship to the extent permitted by applicable law.

18.6. In the event of any conflict between these Terms and an individual written agreement, the individual agreement prevails.

18.7. These Terms are prepared in English for publication on the English-language website. If a translation is made available and there is any inconsistency, the English version will prevail unless an individual agreement expressly provides otherwise.
